Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Columbus platform, websites, mobile applications, and related services provided by Profitable Rooms Private Limited (“Columbus”, “we”, “us”, or “our”). By creating an account, requesting a demo, or otherwise using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
1. The Services
Columbus provides a cloud-based automation platform that captures offline enquiries, prioritises and responds with real-time availability, and synchronises reservations with connected property management systems and other third party tools. We may update or modify features to improve functionality, security, performance, or compliance.
2. Accounts & Eligibility
- You must be at least 18 years old and capable of entering into a binding contract to use the Services.
- You must provide accurate, current, and complete registration information and keep your credentials secure.
- You are responsible for activities that occur under your account and must notify us immediately of any unauthorised access.
3. Customer Data
“Customer Data” means any information, content, booking details, or materials submitted to the Services by you or on your behalf. You retain ownership of Customer Data. You grant Columbus a worldwide, non-exclusive licence to host, use, process, and transmit Customer Data solely to provide the Services, improve features, and comply with applicable law or your instructions.
4. Subscription & Payment
- Access to certain features may require a paid subscription or separate order form.
- Fees are due in advance and are non-refundable unless stated otherwise in an order form.
- If payment is not received when due, we may suspend or terminate access to the Services until payment is made.
5. Acceptable Use
You agree not to:
- Use the Services in violation of any applicable laws or regulations.
- Submit content that is unlawful, defamatory, or infringes the rights of others.
- Attempt to gain unauthorised access to any systems or networks of Columbus or its partners.
- Reverse engineer, decompile, or attempt to derive source code from the Services.
- Use the Services to develop or improve a competing product.
6. Intellectual Property
The Services, including all software, documentation, branding, and content (excluding Customer Data) are owned by Columbus or its licensors and are protected by intellectual property laws. Nothing in these Terms transfers to you any ownership rights in the Services. You may provide feedback about the Services, and we may use it without restriction or compensation.
7. Confidentiality
Each party may disclose Confidential Information to the other. Confidential Information includes business plans, technical data, customer lists, and any information that is marked or reasonably should be understood as confidential. The receiving party agrees to protect Confidential Information with the same degree of care it uses for its own confidential data and not to use it for purposes other than fulfilling these Terms.
8. Data Protection
Columbus processes personal data in accordance with our Privacy Policy, which is incorporated by reference into these Terms. Where required, we will enter into separate data processing agreements to support compliance with applicable privacy regulations.
9. Warranties & Disclaimers
- We warrant that we will provide the Services with reasonable skill and care and will implement industry-standard security measures.
- Except as expressly stated, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory.
- We do not guarantee uninterrupted operation, error-free performance, or specific business results when using the Services.
10. Limitation of Liability
To the maximum extent permitted by law, Columbus and its affiliates will not be liable for any indirect, incidental, consequential, special, or exemplary damages, or for loss of profits, revenues, goodwill, or data. Our total liability for any claims arising out of or relating to these Terms will not exceed the amounts paid by you to Columbus during the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Columbus, its affiliates, officers, directors, and employees from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or in connection with your use of the Services, Customer Data, or violation of these Terms.
12. Suspension & Termination
- You may terminate your account at any time by following the in-product instructions or contacting us using the details below.
- We may suspend or terminate access if you materially breach these Terms, create security risks, or fail to pay fees when due. We will notify you when legally permitted.
- Upon termination, you remain responsible for outstanding fees and for safeguarding your Customer Data.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in Gurgaon, Haryana, India. If required by local law, you may have additional rights to bring actions in your home jurisdiction.
14. Changes to the Terms
We may update these Terms periodically. When we do, we will revise the effective date above and provide reasonable notice of material updates via email or in-product messaging. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
